Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by KGP INOVATION ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions, you may not access or use our services.

2. Services

KGP INOVATION provides IoT solutions, SaaS product development, mobile application development, web development, and autonomous agent solutions. The scope, deliverables, and timelines for each project will be defined in a separate Statement of Work (SOW) or project agreement.

3. Intellectual Property

All intellectual property rights in the deliverables created by KGP INOVATION shall be transferred to the client upon full payment, unless otherwise specified in the project agreement. KGP INOVATION retains the right to use general knowledge, techniques, and tools developed during the project for future work.

4. Payment Terms

Payment terms will be outlined in the project agreement. Unless otherwise stated, invoices are due within 30 days of issuance. Late payments may incur an interest charge of 1.5% per month on the outstanding balance.

5. Confidentiality

Both parties agree to keep confidential all proprietary information shared during the course of the engagement. This obligation survives the termination of the agreement for a period of two (2) years.

6. Warranties & Limitation of Liability

KGP INOVATION warrants that services will be performed in a professional manner consistent with industry standards. Our total liability shall not exceed the fees paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

7. Termination

Either party may terminate the engagement with 30 days' written notice. In the event of termination, the client shall pay for all work completed up to the date of termination. Any deliverables already paid for will be handed over to the client.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana.
